Service StatementService Statement
AstraFoundry AI (astrafoundry.ai) provides software development and technical maintenance services, including integration development for third-party AI tool interfaces under a written project agreement. Such integration is software development; it does not mean that we supply third-party AI models, inference services, or access entitlements.
We provide software development and technical maintenance services only, and do not provide managed operations or any other operational services. We do not run customers’ businesses, manage their day-to-day operations, or operate AI accounts on their behalf. We do not sell, rent, or resell overseas AI accounts, shared accounts, usage credits, or access rights. Customers obtain and manage their own lawful third-party accounts and authorizations. We do not help circumvent providers’ geographic, identity, payment, or access restrictions.
Features, deliverables, fees, timelines, acceptance, and maintenance scope require written agreement. Payment Channels: Supported payment methods are strictly limited to PayPal, Link, and major international credit/debit cards. WeChat Pay and Alipay are not supported, and any form of cryptocurrency or virtual currency transaction is strictly prohibited.

1. Provider and Contract
This website operates under the AstraFoundry AI brand. Operating entity name: AstraFoundry AI; contact address: Los Angeles, California, United States (Los Angeles, CA, USA); official contact email: [email protected].
These terms apply to software development and maintenance projects where both parties agree to their application. Orders, quotations, and statements of work require both parties’ written confirmation; payment and contract formation follow their express agreement. Merely browsing the website does not place a paid order. A specific project provision agreed in writing prevails over a conflicting provision here, subject to mandatory law.
2. Scope, Delivery and Maintenance
The statement of work should specify requirements, deliverables, schedule, customer cooperation, acceptance criteria and process, and maintenance scope and duration. Additional features, changes, or maintenance not expressly included require a separate written agreement on scope, fees, and timing implications. We perform with reasonable professional skill and care and do not guarantee business outcomes that have not been agreed. Software maintenance does not include business operations. Acceptance arrangements do not affect statutory remedies for defects.
3. Customer Cooperation and Third-Party Tools
Customers must have the right to provide project materials, data, and instructions and provide agreed cooperation promptly. Both parties must use only lawfully obtained and authorized accounts, interfaces, and software. Accounts, subscriptions, fees, licenses, availability, and supported regions for third-party AI tools are governed by the actual providers. We remain responsible for the agreed integration development, but do not promise that a provider will continue any particular feature or service. If provider changes affect a project, the parties should promptly agree a lawful adjustment and its cost and timing implications; no additional charge arises automatically without consent.
4. Regional Availability and Compliance
We do not supply services to customers, regions, or entities where the relevant service is prohibited by applicable laws, sanctions, or export controls, nor do we offer AI services to unsupported countries/regions or sanctioned entities. Restrictions depend on the actual transaction, services, parties, and rules in force; the existence of a sanctions program concerning a place does not itself mean that every transaction there is prohibited. Projects involving third-party AI tools must also comply with the actual providers’ supported regions and use conditions. We may verify eligibility to the extent necessary and proportionate.
Regional Availability Appendix
The following sets forth our active regional compliance and risk-control policy (it is not a single official US prohibited-country list and does not mean all transactions in the listed locations are unlawful). “AI-related” means only integration development involving third-party AI tools and does not expand our stated services:
- Default Unavailable Regions (Cuba, Iran, North Korea, and restricted areas of Crimea, Donetsk, and Luhansk as defined by applicable US rules): AI-related integration development and technical services are unavailable.
- Special Compliance Review (Russia and Belarus): Projects are assessed individually based on service scope, US nexus, and applicable BIS/OFAC rules. Relevant restricted services are unavailable pending compliance clearance; this is not a blanket ban on all unrestricted software development and maintenance.
- Other Destinations & Entity Screening: Projects remain subject to verification of actual AI providers’ supported regions, sanctioned-party lists, and applicable ownership rules, including the OFAC 50 Percent Rule where applicable. This list is not exhaustive; an available destination does not make every customer or end-use eligible.
- Syria Note: Comprehensive OFAC sanctions ended on July 1, 2025, and Syria is not listed here as comprehensively prohibited; however, export controls (including BIS EAR rules) and targeted sanctions restrictions still require project-specific review.
Read this appendix together with applicable law and current provider rules. Under no circumstances does it authorize circumvention of geographic or export-control restrictions.
5. Fees, Payment and Refunds
Currency, total price, applicable taxes, third-party charges, payment milestones, and methods must be specified in the order, statement of work, or checkout. Supported payment channels are strictly limited to PayPal, Link, and major international credit/debit cards (WeChat Pay, Alipay, and any cryptocurrency/virtual currency are not accepted). No additional charges or subscriptions may be added without customer consent.
Cancellation, termination, and refunds follow the parties’ valid agreement, actual performance, and applicable law. Fees for unperformed work must be settled as required by law, and refunds legally due must be paid. There is no blanket no-refund policy. Applicable consumer withdrawal rights, statutory guarantees, and other mandatory remedies remain unaffected. Any separate consent and acknowledgment required for early commencement of services or delivery of digital content must be obtained in accordance with law.
6. Customer Information and Confidentiality
Both parties must protect non-public information learned through the project and use it only as necessary to perform the contract or comply with law. We request and use only the minimum data access needed for agreed work, apply reasonable safeguards, and return, delete, or retain project information as agreed and legally required. Transmitting customer information to third-party tools requires appropriate authorization and a lawful basis, with the purpose and recipient identified. Personal-data processing also requires appropriate separate privacy information and, where needed, a data processing agreement.
7. Intellectual Property
Rights in customers’ existing materials and each party’s pre-existing technology do not automatically transfer through a project. Ownership of custom work, license scope, source code delivery, and associated payment conditions follow the parties’ written agreement. Third-party software, open-source components, and materials remain subject to their licenses; we should identify material use restrictions applicable to deliverables. Neither party may grant rights it does not have authority to grant.
8. Problems and Liability
The parties should promptly discuss delivery or service problems and provide correction, repeat performance, price adjustment, or other appropriate remedies under the project agreement and applicable law. Each party is responsible under applicable law for its breaches and other conduct giving rise to liability. These terms impose no unagreed liability cap and do not exclude or limit liability that cannot lawfully be excluded or limited.
9. Suspension and Termination
Risks of illegality, serious security risks, or material breach may justify necessary and proportionate suspension of affected services or lawful termination. Reasons and a reasonable opportunity to remedy should be provided unless notice is prohibited by law or immediate action is necessary. Reasonable measures should protect customer information, completed work, and lawful delivery arrangements during suspension or termination. Accounts must be settled according to actual performance and law, except insofar as continued performance is prohibited by law.
10. Disputes, Updates and Languages
Disputes should first be discussed through our official contact email ([email protected]). Governing law and dispute resolution follow the parties’ valid written contract and mandatory law; no court or arbitral institution is presumed. Updated terms will show their effective date and will not apply retroactively to existing projects. Changes to existing projects require any consent necessary under the agreement. All language versions are intended to convey the same meaning; differences should be interpreted fairly in light of the contract’s purpose without reducing mandatory consumer rights. The contract language and any prevailing language must be separately and expressly agreed in accordance with law.
